Metabolic LLC, doing business as IAM Clinic (“IAM,” “we,” “our,” or “us”), operates a telehealth platform providing access to healthcare services, lab testing, pharmacy shipments, supplements, and related offerings. These Terms of Service (“Terms”) govern your use of IAM’s websites, patient portal, telehealth consultations, labs, pharmacy services, and products (collectively, the “Services”).

By using our Services, you agree to these Terms. If you do not agree, you may not use IAM.


1. Definitions

  • “Services”: IAM’s telehealth platform, portal, labs, pharmacy shipments, supplements, and messaging.

  • “Medical Group(s)”: Independent physician groups providing medical services through IAM.

  • “Provider(s)”: Licensed clinicians affiliated with Medical Group(s).

  • “Pharmacy”: Licensed pharmacies, including 1st Choice, that dispense prescriptions.

  • “Labs”: Independent laboratories including Labcorp and Quest Diagnostics (via Ulta Lab Tests).

  • “Patient Portal”: Secure messaging, reminders, and payments provided via Tebra.


2. Eligibility

  • You must be at least 18 years old to use IAM.

  • Services are available in the U.S., except Hawaii and Alaska.

  • You confirm that the information you provide is accurate and complete.


3. IAM as a Platform

  • IAM connects patients with independent Provider(s), Medical Group(s), Labs, and Pharmacies.

  • IAM itself does not practice medicine, provide diagnoses, or guarantee prescriptions.

  • All clinical decisions are the sole responsibility of Provider(s).

  • IAM is not liable for actions or omissions of Provider(s), Medical Group(s), Labs, or Pharmacies.


4. Telehealth Consent

By using IAM’s telehealth Services, you consent and understand that:

  • Medical care is delivered via electronic communication.

  • Telehealth may limit physical examination and carries risks such as delays or technical failures.

  • Provider(s) determine whether telehealth is appropriate for your care.

  • There is no guarantee of diagnosis or prescription.

  • In emergencies, you must call 911 or seek in-person care immediately.


5. Medical Group(s) & Provider(s)

  • Provider(s) are licensed professionals responsible for your care.

  • IAM does not employ or control Provider(s) and is not responsible for their decisions.

  • Provider(s) may decline treatment or prescriptions if not medically appropriate.


6. Labs & Pharmacy

  • Labs are ordered through independent laboratories. IAM is not responsible for lab errors, delays, or results.

  • If a sample is insufficient or results are invalid, repeat testing is generally covered by the Lab, but may not always be the case.

  • Prescriptions are dispensed by licensed Pharmacies. IAM does not guarantee availability, timeliness, or delivery.

  • If medications are delayed, warm, or damaged, the Pharmacy will determine resolution.


7. Supplements & Non-Prescription Products

  • IAM may sell supplements and over-the-counter products.

  • These products are not intended to diagnose, treat, cure, or prevent disease.

  • They are provided under standard consumer protections, separate from prescriptions.


8. Patient Accounts & Responsibilities

You agree to:

  • Provide accurate health and personal information.

  • Maintain confidentiality of your account credentials.

  • Use the Patient Portal only for lawful and personal use.

  • Follow medical advice provided by your Provider(s).


9. Payments, Refunds & Cancellations

  • Payments are processed through Tebra and Stripe.

  • Once a telehealth consultation has occurred, it cannot be refunded.

  • Prescriptions, once dispensed, cannot be returned or refunded.

  • Supplement return requests are handled case-by-case in accordance with consumer rules.


10. Insurance, FSA & HSA

  • IAM does not accept commercial insurance.

  • Patients are responsible for all costs of care, prescriptions, and products.

  • Patients may choose to use an FSA or HSA card for payment if eligible, but IAM makes no guarantee of reimbursement.

  • IAM is not enrolled in Medicare or Medicaid.


11. Privacy & HIPAA Compliance

  • IAM complies with HIPAA and safeguards Protected Health Information (PHI).

  • IAM has a Business Associate Agreement (BAA) with Google Workspace for HIPAA-compliant data management.

  • PHI is only shared with Provider(s), Medical Group(s), Labs, Pharmacies, and payment processors as necessary.

12. No Emergency Care

  • IAM does not provide urgent or emergency care.

  • If you believe you are experiencing an emergency, call 911 or seek in-person medical attention immediately.


13. Third-Party Services

  • IAM partners with independent Labs, Pharmacies, and payment processors.

  • IAM is not responsible for their actions, errors, or policies.


14. Intellectual Property

All content, trademarks, logos, and software on IAM are owned by Metabolic LLC or its licensors. Any unauthorized use is prohibited.


15. Limitation of Liability

To the fullest extent permitted by law:

  • IAM is not responsible for decisions made by Provider(s), Medical Group(s), Labs, or Pharmacies.

  • IAM is not responsible for indirect, incidental, special, or consequential damages.

  • Your sole remedy if dissatisfied is to discontinue use of IAM’s Services.


16. Indemnification

You agree to indemnify and hold harmless IAM, its affiliates, officers, employees, and agents against claims, damages, or expenses arising from:

  • Your misuse of IAM,

  • Your violation of these Terms, or

  • Your interactions with Provider(s), Labs, or Pharmacies.


17. Dispute Resolution & Governing Law

  • These Terms are governed by the laws of Illinois.

  • Disputes shall be resolved by binding arbitration in Illinois, individually.

  • You waive jury trial and class action rights.

  • Small claims actions may be filed in Illinois small claims court.


18. Miscellaneous Provisions

  • Severability: If one section is invalid, the remainder still applies.

  • Waiver: Failure to enforce a right does not waive it.

  • Entire Agreement: These Terms are the complete agreement regarding IAM’s Services.

  • Assignment: You may not assign these Terms. IAM may assign them without restriction.


19. Modifications

IAM may update these Terms from time to time. The updated version will be posted with a new “Last Updated” date. Continued use of IAM means you accept the updated Terms.
